The compensation packages for Directors and Officers are all detailed in the proxy materials that were pr'd earlier regarding the voting materials for the Annual Investors Meeting.
If you didn't get those materials, just call the CPST offices and they will happily send you the entire package of materials, and they will contain the voting forms as well. Fascinating info.
The proxy is very informative and good to hold onto for the following year; even more important than the Annual Report which is basically a repeat of the last quarter report. Much information is included regarding pay packages, awards and incentives, etc.
The P means personal as it refers to an individual, not the public market. Sometimes the shares can be awarded to an individual that represents a group of investors,(there is one such Director on CPST's board.) and that will be noted on the bottom of the Form-4.
Indirect shares are bought on the open market; thus indirectly acquired. Direct means straight from the company and are restricted share that cannot be immediately sold and that excise at some future date..
3K at $1.14. is the quarter award based on the yearly agreement package. The value noted is the price of stock on the day the shares are officially awarded, not filed.
