I think the Talon rights should remain at DTC, not Equiniti, unless there is some announcement. I do not know how Wells Fargo are involved or what exactly 'in charge of TLON CVRs' means in this context.

I thought Equiniti are the transfer agent for the CVRs because they acquired corporate stock transfer and I confirmed this with them in late 2020. That means all the CVRs were brought over to the Equiniti system without changing who owns the CVRs.

I contacted my old broker who said the TLON CVRs are still held dormant there. I could not move them to my new broker since they are non-tradeable securities. According to my understanding, if there is ever a payout on the CVRs, then the milestone payment should enter a cash account held for that dormant account.

Crossing my fingers that some of those milestones are hit in the coming years...

I spoke with our Etrade broker ... they said it will take several weeks ....??to find out our CVRs... I talked to different people: Spectrum pharmaceuticals ( who bought TLON therapeutics) , Computershare( transfer agency of Spectrum) , Wellfargo ( computershare said Wellfargo is in charge of TLON CVRs)
Equinity said they are not in charge of TLON CVRs...

I go online EQ shareowneronline, I tried to registered for Online Access... the web asked my authentication ID( 12 digit numbers) or my account?? I don’t either...

I am not sure when Equinity Acquired Corporate Stock Transfer... they would send our TLON shareholders Authentication ID associated with our shares of TLON ... but we missed it ???

We called E*TRADE... they still not know that TLON shareholders have had Equinity Trust Company for our CVRs ???? We gave them Equinity phone numbers....They said they will call them and find out ...it is really Smelling very Bad for E*TRADE??? They haven’t Restored our TLON shares on our E*TRADE accounts Yet either???

I think if you do not have you CVRs in your account, please get the written explanation from your broker and forward that to Equiniti. It cannot be your CVRs are just taken without an explanation given to you.

You need to discuss the facts of what has happened to your account with operations since they can study the problem you are facing, if your broker has not helped you so far.

As I understand from Equiniti, no payout occurred yet and there has been no change to the CVRs with the rights still at DTC. Any change to that would require a public notification.

As mentioned, no payout for TLON CVRs has occurred according to Equiniti. No I cannot share Equiniti email. There is nothing to stop your broker confirm with Equiniti operations department, as I did and sort this out. You need some confirmation in writing from your broker on the reason for removal and demand the CVRs are returned.

this is back to you. please add pressure back to resolve between broker and DTC and request written clarification on the removal of your TLON CVR position, if needed.

I just got a response. There should be no problem and the positions should not be removed from the owners.
Equiniti confirmed the Talon rights are still at DTC and will remain so until notified.
Basically, there was a one to one mapping for positions under corporate stock transfer to equiniti with no change in any ownership and this should remain the same.

In other words, your broker needs to consult with DTC and it should be confirmed between them. Otherwise, get broker to contact Equiniti to confirm. We should still have our TLON CVRs with potential for a payout according to terms of milestones being hit !!!

I think it was 0.05 per share. I would remember if there was a mistake at the time. I think the cash part was relatively small at the time that Spectrum acquired Talon and the cash was correctly received in my brokerage account.

For Equiniti, lets wait to see if they respond within 2 or 3 weeks.

We saw $0.1 for Final Price of the Final day ??? But we received Only $0.05 per share for final day?? Is that right for all of you too when you received $0.05 per share or $ 0.1 per share as we saw on the broker flag form ( $0.1 per share)

It appears from your message that the CVRs may have been cancelled withtout any instruction from the agents after the acquisition. I just left a note with Equiniti (successor agent) to contact DTCC and clarify the situation. Lets see if they can help get them restored. The other route is to try contact Spectrum/Acrotech/CASI investor relations to see if they can assist.

We talked to manager Travis Carroll ( 800-661-4587)who said we would wait for him to contact DTCC then he would call back... he never called back ... like we did call in several times and talked to different guys... they said Carroll would call back ...
We said we called SEC to complain about their Unlawful Bussiness Practices/ Security Frauds...
Finally we had a heated discussions with Carroll. He said that is the way DTCC does business when TLON does not a transferring agents ???

It does not smell right.

I do not use etrade and already changed broker from when I bought TLON shares. I was not able to move the CVRs from the original place since they are non-tradeable securities. They needed to remain and I have no way to see them online now. I have not been in contact to check on them recently.

I do not understand the reason you provided for their removal from the brokerage account:

DTCC are a brokerage based holder of all street stock. It seems they may not be aware that Equiniti are the new rights agent as the successor. I think the next step is to show e-trade the link of the acquisition and the SEC terms below and ask that they discuss that with DTCC, who can confirm the details. Only the brokerage communicates with DTCC. Hopefully this may lead to the CVRs restored to the original brokerage account since the CVRs are in book entry only, cannot be issued in physical form. If that is not successful, the other route is to contact the pharma companies that are currently involved with Marqibo to request assistance on restoring the CVRs (contact Acrotech and/or CASI Pharmaceuticals).

1. Equiniti is the successor rights agent. Corporate Stock Transfer, Inc. who handled the acquisition of Talon Therapeutics by Spectrum Pharmaceuticals was acquired by Equiniti Trust Company.

How are you? We all have our shares from E*TRADE. We called them and asked them .... they said third party ( DTCC =Depository Trust & Clearance Corporations) took TLON shares away from our accounts?? Because DTCC does Not have Transferring Agents of TLON ... is that Smelling Right? Any TLON investors here have E*TRADE accounts too? You got the same answers like what we heard from E*TRADE account manager ??
How about other Brokers? You have the same problems that they Removed your TLON shares from your accounts too?

Sometimes we feel brokers/DTCC took our TLON shares away from our accounts... intentionally so they can KEEP our money!!!
If we find out later ... we don’t have our money from our CVRs ... they will EXCUSE themselves because... they lose tracks of our shares????...

I think the first step is to ask your broker for an explanation as to why they removed the CVRs when Equiniti still acts as the agent for them. I think the broker can confirm with Equiniti. Hopefully, your broker can then restore them for a contingent payout in the future.

The broker may not be happy holding the CVRs as non-tradeable securities but I believe the broker that benefited from the trading of TLON shares prior to the buyout of Talon by Spectrum should continue to hold the CVRs.

This article suggests $5.4m for Marqibo and Zevalin in 2020. Hard to know what part of that is Marqibo.

Okay, I see what you mean. I still got my CVRs. They still seem active to me in my tdameritrade account. But certainly I need to make sure it is.

When you say their should be results next year for USA Marqibo. What do you mean? Sales? I love to get potential in China as long as a payment is still possible for all of us who have TLON CVRs.

There should be study results on Marqibo next year for the US and we can see some signs of potential for China. I do not see what SEC can do here. One could write to a broker who can confirm with the transfer agent that the CVRs remain active.

With just a few of us, class action might not lead to much unless you can see something that shows evidence of us all being misled. As far I can see, they did not have the funds to commercialize this and sold it off at a fraction of what it is worth. I have my CVRs stuck in a large institution but I will not forget about my 115k TLON CVRs.

It's very tricky because Spectrum sold Marquibo to Acrotech Biopharma L.L.C.. We need our money for this sell.
