FLST Signs Letter of Intent to Acquire 100% of ABV Gold, a Canadian-Based Mining Company
MONTREAL -- (MARKET WIRE) -- 05/09/2006 -- Financial Access Solutions Technology (OTC: FLST) announced today that it has signed a letter of intent to acquire 100% of ABV Gold, a Canadian-based Mining Company.
According to the letter of intent, FLST will acquire all outstanding shares of ABV Gold by way of a reverse merger. The company will not reverse split the common shares to execute the transaction and the current board of directors and officers will resign as well as the transfer agent will be changed from Stalt Inc. to Select American Transfer of Toronto, Canada.
The companies expect to enter into a share exchange agreement by or before May 18, 2006.

Dont get me wrong, I am not bashing ANY of these companies.
I am treading very carefully, I only have about 20% left of my original postion of NDOL, and a little over half of my AURC.
Either of these could move dramatically up or down in a heartbeat. Watching closely, and hoping for the best.
I many enter FLST with a small position, if I can get in closer to .05

FLST is under heavy accumulation today. It started at .05 with 4 back-to-back trades of 400,000 each. Now it's hitting .06. Is a deal to be announced next week ?
btw I retract my last post, now I am more bullish on AURC. Especially if the NDOL deal gets closed, considering the same personnel are involved. I bought NDOL back at .74 and at 1.19.
FLST was a buy today, although there's still reasons to be cautious here.
good point. I sold about 90% of my NDOL in the .60's. I sold AURC at .30. I am not very enthusiastic about the prospects of either, although I am more so for NDOL getting a legit buy-out. AURC just seems too crazy for my taste. There's no legal ramifications to hold these guys back. I distrust the Russian aspect. In a formerly state-run enterprise like AURC's property, I think it is highly unlikely that all is being revealed about what could happen. I prefer to focus on companies that report to the SEC and are in reliable geopolitical areas.

I think I would trust a Russian company over the Canadian companies. When things hit the news we're already behind the 8 ball. You never know how far a stock can fall. The smaller pinks and OTC stocks are hard to get out of when sh-- is negative. Ron Canada has some whopping stories about things that have occurred with mining companies in addition to all the other scandals. Don't you see some of the same similarities as in the dot com. days? Everytime you turn around another gold stock, mineral stock, coal company, oil exploration co. (which indicates they don't have anything. Check out BKGD., GEECF to name only 2. If your in Flst after witnessing this be cautious its going south. I am contacting the SEC about what I suspect about this company.
i agree. just a thought, are ndol and aurc much different ? foreigners who "could" do whatever they wish with no repurcussions.
The company in my opinion was attempting first and formost to get people interested. I to believe it was a manipulative move to boost its share price. I also believe after the insider selling was over it was time to mention there was no buyout. To try to cushion the blow or the impact of the stock price that was going up only due to the buyout.It was a pump and now they think they've come up with one better, (Gold). There are so many gold mining companies and others in Canada that are less than honest. (Scams). This company's CEO is full of it. Many people doubted this so called buyout and were correct. I wouldn't bite in to any more of their BS. There never was no buyout and the company who was suppose to buy it is an Obscure company in Florida and private. They came close to reaching their .10 so the insiders got what they wanted for themselves.
Why is this bad news? The buyout offer, even though it did not work out, establishes a rough valuation of at least .10 per share and this new "merger" might be a great thing going forward.

Just like a Canadian company!. I wish now I would have I got out of it, I did this morning minus any gains. I didn't lose any but you can believe I had a few words. This was all BS, a pump and dump to gain some cash for themselves. These pinks, in particular Canadian companies I've learned to distrust. Mining companies, oil and gas are something to be cautious of and this company has now buried itself! Gold mining? Yeh right!
Sounds to me like they have some stuff happening and the stock attracted alot of buying after the initial drop after the news. I am going to hang on and see what happens.

MONTREAL--(MARKET WIRE)--Apr 26, 2006 -- Financial Access Solutions Technology (Other OTC:FLST.PK - News) announced today that further to Puma Access failure to deposit the required $500,000 USD in escrow as per the unsolicited stock purchase offer, the Board of Directors has rejected the offer and the special meeting of shareholders scheduled for May 3, 2006 is cancelled.

Ron don't misunderstand. When your shares are purchased it should be at the lower end. This will be a buyout and not an executed sell. Its better to wait regardless. Why sell short?. The same for NDOL. Anyone getting out now is selling way short. The speculators think they can get back in at much lower prices. There is alot of unfilled buy orders right now. Its gonna double from here in a relative short period of time. Oil at 100d a barrel? Its coming. Alternative solutions is a long way off. Lukoil is buying everything it can get its hands on. Oil is the place to be. Good Luck!
Are you saying that we don't have to pay cap gains in a cash buyout ? I thought we do. The buying over the last 3 trading days especially today is surely encouraging and I'm hanging on. I don't expect a PR right away I'm prepared to wait a few days after May 3rd.
The writing is on the wall for this stock. People selling out today must need the money now. Shareholders will approve this sell and those patient will be happy in the next 6 days. I've added more today. The guess work is taken out and for tax purposes its nice not to have to sell myself. The tax benefit is nice.
What's great about this buyout is the Know of what its selling for. It sounds like Puma is taking it private. Pre-paid account cards is a great for business accounts and travelers. This will be the next big thing. More and more people inwinding there credit card debts makes for a nice alternative solution while protecting your bank account. Companies who give expense accounts for their reps makes for an easier solution to over spending. This will be a money maker given time and that why Puma wants it. Good Luck!

I am concerned about this deal. First, no one returns phone calls. Second, no Sheraton can verify the shareholder's meeting. I have a 25% return on my money so I am probably unloading my 300K shares at these prices this afternoon and see what happens. To answer post number 81 by Tejass 91, the company would not want to put more A/S shares out there. They want the total O/S to stay where it is for the buyout of ten cents per share. Yes, even on the Pinks the Insiders would have to notify the SEC but it is something like 30 days after a certain time period ( i have forgotten the exact wording) but the bottom line is the deal will be over by the time they would HAVE to notify the SEC.

New to the board, bought and sold FLST so I have no stake but would appreciate any info offered. Would someone explain how downplaying the buyout benefits the insiders? If the shares are outstanding, then someone owns them, right? If they are AS but not OS the purchase price doesn't include them does it? If insiders are trying to buy more shares, don't they have to notify the SEC, or since this is a pk maybe they don't?

With this totally off the radar screens now, it looks like the only buyers are word-of-mouth who might even know some people connected.
