Grew too fast? Looks like they felt it necessary to
take on some "toxic debt" & they paid the price for
it. For awhile I thought their COGS was too high to
survive & settled in the backround simply stalking
the equity...Perhaps like yourself, looking for a
an opportunity to enter...
I have been stalking this stock for 3 years...not
my LONGEST, but one of the few I liked long enough
to follow & not be invested.
It happens...sucks, maybe they'll emerge stronger,
we'll all get to taste their pies & the company
can get back on their feet & we can all make some

I have been to the Allen Location, and honestly was not that impressed. I only went because they had a decent groupon at the time.

The Company is currently investigating the possibility of attempting to re-enter and continue operation at these two locations.
TCA Global Master Fund, L.P. filed a lawsuit against the Company under cause number 13003211 in the 17 th Circuit Court in and for Broward County, Florida. The lawsuit alleges breach of contract and seeks to foreclose on an alleged security interest. The Company has been defending the lawsuit. A copy of the Complaint is attached hereto as Exhibit 9.2.

Effective July 3, 2013, Tootie Pie Company, Incorporated (the "Company") filed a Chapter 11 Bankruptcy Petition in the United States Bankruptcy Court, Western District of Texas seeking to re-organize. The case is filed under cause number 13-51808 and has been assigned to Judge Craig A. Gargotta. A copy of the Notice of Bankruptcy Case Filing is attached hereto as Exhibit 9.1.
Item 5.02. Departure and Appointment of Certain Officers
Effective July 5, 2013, Mr. Don L. Merrill, Jr. has agreed to resign his previous position as the President/Chief Executive Officer and interim Chief Financial Officer of the Company. Mr. Merrill will remain as a director of the Company. Mr. Leslie E. Doss, a director of the Company, has been appointed by the Board of Directors of the Company and has agreed to fill those positions on an interim basis.

SAN ANTONIO -- A Thanksgiving tradition for many folks in and around San Antonio could be a thing of the past.
Boerne-based Tootie Pie Co. filed for bankruptcy protection last week.
Company officials said even though they have seen a jump in sales from year to year, it just wasn't enough to make loan payments, listing nearly $1 million in debt.
One of the company's main creditors filed a lawsuit claiming the company first failed to make loan payments in October, which is the start of the company's busiest season.
According to new CEO Leslie Doss, this is not necessarily the end for the company. He said this could be a fresh start with new investors showing interest.

Had a bid at 5 cents then held the bid just over 6 for a while. Dropped my bid. There was a 40k buy at 6 and 40k sell at 9.

I have been to their location in allen, TX twice (groupon). They need to pie it up. Also, I don't think they make the pies onsite.
I looked at there web site and it looks like they are very exspensive pies and that makes me wonder if I should try and buy this stock or not, I have seen this stock before but I did not like how flighty the price would move on this one.I am not sure if it is going to be worth buying it at this price . what do you think.

Might try for low ball on this. Been wondering why so many .15 hits lately. Very thinnish but higher vol past few sessions. Not a fan of accounting matters/changes but .10 - .15 might cover that. Risk is loading boat & roach motel trap while market settles. Lot of beverage companies have gone way into sub penny so a cake guy isn't unlikely possibility in hard times. g/l

Effective October 9, 2012, the client auditor relationship between Tootie Pie Company, Incorporated (the "Company") and M&K CPAS, PLLC ("M&K") has been terminated by M&K.. As per a previous Form 8K M&K was retained on or about May 22, 2012. The Company filed a 10K on October 5, 2012 that was not audited or reviewed by M&K CPAS, PLLC even though they were the auditor of record at the time. Subsequent to M&K 's resignation and prior to this 8K being submitted a form 10Q was filed by the Company which was also not reviewed by M&K.
There have been no reportable events as defined in Item 304(a)(1)(v) of Regulation S-K during the year ended March 31, 2012, except for M&K informing the Company that they believe there were material errors within the Company's 10K filed on October 5th. "Material errors" is defined as any adjusting entry involving a dollar amount in excess of 5% of the resulting net loss or $40,000.00 dollars.
The Company has authorized M&K to respond fully to any inquiries of any new auditors hired by the Company relating to their engagement as the Company's independent accountant. The Company has requested that M&K review the disclosure and M&K has been given an opportunity to furnish the Company with a letter addressed to the Commission containing any new information, clarification of the Company's expression of its views, or the respect in which it does not agree with the statements made by the Company herein. Tootie Pie Company, Inc. (OTCQB:TOOT) reported that annual revenue jumped 35%, to $2,732,858 for fiscal year ending March, 2012, versus $2,027,547 for March, 2011.
"We made a significant investment in our Tootie Pie Gourmet Cafes in the last couple of years and that investment is paying off," reported Don L. Merrill, Jr. President & CEO. "Our Cafes are doing well and we are very excited about the upcoming holiday pie season."
Cash Flow (EBITDA and other non cash items) improved 33% to a loss of $363,116 for the year ending March 31, 2012, versus $539,752 for the same period in 2011.
"Retail sales jumped 88%, which contributed to a nice improvement to our bottom line," Merrill continued. "I expect these trends to continue into our current year and I believe we have the components in place to achieve profitability."
Gross Profit came in at a record $1,697,382 for the year, up 26% from $1,251,798 for the prior year. Net loss, which includes depreciation, amortization and other noncash items, improved 21% to $861,262 for the twelve months ending March 31, 2012, versus $1,094,001 for the twelve months in 2011. The improvement was principally due to a reduction in non-recurring start up related and operating expenses incurred to open, staff and operate additional Cafe locations, as well as an 87.8% increase in higher margin retail sales, coming primarily through our Cafes.

Management Team
Don L. Merrill, Jr. has been the Company`s Chief Executive Officer and a Director since Tootie Pie`s inception. Mr. Merrill has over twenty years experience in capital markets, where he began his career with Merrill Lynch in 1983. In May 1989, Mr. Merrill left Merrill Lynch and began consulting directly with primarily early stage companies until September 2005 when he joined the Company. Mr. Merrill has provided his expertise on a consulting basis to companies in many business sectors, including specialty retail, telecommunications, financial services, and high tech communications, for close to twenty years. Mr. Merrill has evaluated many young companies and provided his expertise in raising both public and private equity.
Bobbie Keese has been the Company`s Vice President of Baking Operations since its inception. Ms. Keese has over 25 years of retail business administration experience; as well as several years of working with early stage companies. Ms Keese worked alongside her mother, Ruby Lorraine "Tootie" Feagan, in baking pies and operating her pie business at various intervals for over ten years prior to helping Mr. Merrill start the Tootie Pie Company, Inc. As the Company`s Vice President of Baking Operations, Ms. Keese will work to ensure the preservation and continuation of the Tootie Pie brand and its quality reputation.
Randy G. Graybill has a 25 year track record of excellence in competitive sales, management and developing high performance teams. Working with M&M/Mars and PepsiCo, Mr. Graybill has distinct expertise across a diverse range of businesses including retail, specialty and foodservice. His roles involve the sales and development of branded products for market, as well as overseeing the restaurant division, through its management and development of the Tootie Pie Gourmet Cafés. During his career he has successfully implemented and improved customer service, distribution and packaging operations within existing and start-up operations.
Kirk Jones was promoted to Controller, after two years as the Company`s Head Accountant. Kirk has an accounting degree from the University of Texas at San Antonio, where he worked for Tootie Pie Company while finishing his degree.
