Can someone please tell me the status of Advance Nanotech, Inc. I have stock in this company (a stock certificate as recent as 2006), but their contact information just sends me to a company called Owelstone? Help please.
No, being patient like everyone else. :) AVNA
Hi SuperC, Hopefully they file reports with SEC soon. Have you heard anything lately?
AVNA .009 up from .0007 1/15 and holding up well: http://www.profitspi.com/stock/view.aspx?v=price-and-chart&p=2215&i=AVNA&pv=recent-symbols&pp=AVNA#&&vs=634961044888172598
In the unlikely event AVNA files all delinquent Financials the stock would still be dispatched to the Grey Sheets, BUT, the company would avoid revocation.
Submitting 3 1/2 years of Fins is a monumental task to complete in ten days.
What are the chances? They have pretty much been slapped with this death blow already.
Easy solution for AVNA to just file ALL delinquent Financials from September 2010.
The company has ten business days to comply.

AVNA only has 35% ownership of Owlstone. Maybe they decided to up it to 100% again like in the past. CEO still owns stocks that were purchased at .04-.05 range. Possible minimal target.

Just a hunch. Look back at the news late 2010-12. The profitable Owlstone division split from Nanotech due to favorable accounting reasons at the time. They could be re-merging back again IMO. See post 278.
Why would you say that? article or ?
Looks like a merger is in the works. They did well with the Nanotech division before the company decided to split up.

No one should unless a miracle happens. It would be nice if market sites would keep up-to-date and state up front no one should. As far as I can tell, there are no employees and all rights and association to Owlstone is now wholly owned by Owlstone themselves. DO NOT BUY!!!! I believe the only grain of hope is someone will decide taking AVNA over is an easier method for a start-up business due to less paperwork and existing stock shares in the market.
Thx, Big Guy.

Only argument I can see is against it. Chapter 7 will result in the company, or entity, being dissolved. The assets will not pay off the current debtors. A legal firm that holds shelf companies may pay a bit for the corp. but I doubt it. If they did the money received would go to the noteholders first as part of the Ch 7.
Delware shelf companies are available for anywhere from $1,000-$30,000. With more than 70 million shares outstanding you do the math. And that would only happen if assets were more than liabilities - which they aren't. I'd take my 3 tenths of a penny and the tax loss and run. Disclosure: Had 100k in shares at one time, but I've sold it all and moved on.
So what's the argument for or against it being a shell of some value and possible potential down the road?
TIA, zagdad
The bankruptcy trustee says because it's a chapter 7 it's "highly unlikely" shareholders will receive anything. I dumped the last few shares I had to simplify the tax loss processing at the end of the year. Hey if someone want's to pay me enough for a lunch or supper, what the heck - it's better than nothing. And the company is toast so there's no point hanging on.
Have you noticed there is a BUYER quietly assimilating shares?

Business Bankruptcy Headlines for 4/26/2011
Advanced Nanotech Voluntary Chapter 7 Petition Filed
Following a March 15, 2011 involuntary bankruptcy filing against the Company, Advanced Nanotech filed a voluntary Chapter 7 petition with the U.S. Bankruptcy Court in the District of Delaware, case number 11-10776. The Court subsequently approved of the case's conversion to voluntary status and issued a related order of relief. The U.S. Trustee assigned to the case appointed Jeoffrey L. Burtch as Chapter 7 trustee. This development stage company has ownership in Owlstone Nanotech.

It's now AVNAE which means the company is delinquent in filing necessary reports and forms.
Once the ticker has the E appended, they have 30 days to file or the symbol is removed from the OTC list.
The corp. has no directors and therefore no one to meet the filing requirement. Plus there's a case before the courts to force the company into bankruptcy.
It's shame because the company and shareholders (like me) own shares of Owlstone that should be worth the equivalent of about $6-7m. In fact that may be quite a bit more since Owlstone has not provided a finiacial or operational update in over 6 months. And it's a very promising company with lots of potential.
But unless the noteholders can be convinced to re-negotiate the notes and keep the company around, it looks like it's toast. With the case now before the courts, I'd imagine the decision will be to force the company into bankruptcy and that would be it.
IMO with it worth .004 as it is today it's worth hanging on to see if something happens to bring it back around. Chances are slim to none though. That's my 2 cents...
Noteholders Look To Force Liquidation Of Advance Nanotech
DBR Small Cap, March 16, 2011, 476 words English
Three noteholders that say they are owed nearly $1 million launched an involuntary bankruptcy filing against Advance Nanotech Inc., a development-stage company that owns a stake in a chemical-detection products business. Alpha Capital Anstalt, Iroquois Master Fund Ltd. and Harborview Master Fund LP Tuesday filed a Chapter 7 petition in the U.S. Bankruptcy Court in Wilmington, Del., seeking to push Advance Nanotech into the arm of bankruptcy that walks businesses through a liquidation. A representative from the publicly traded company wasn't immediately available to comment Wednesday morning. Alpha Capital Anstalt says its claim is $525,000, while Iroquois Master Fund claims to be owed $103,748 and Harborview Master Fund claims to be owed $324,670. Together, their alleged claims total $953,418. The petitioning creditors' attorney, Richard M. Beck of Klehr Harrison Harvey Branzburg LLP, was also unavailable to comment Wednesday morning....

ADVANCE NANOTECH, INC
As of September 30, 2009
...
ADVANCE NANOTECH, Inc. ... ( AVNA ) ....... http://www.advancenanotech.com
Advance Nanotech commercializes nanotechnology products across a range of industries including homeland security, display technology and medical devices. We identify patented, patent-pending and proprietary technologies at leading universities and fund the additional development of such technologies in exchange for the exclusive rights to commercialize any resulting products. By partnering with universities and leveraging the infrastructure and multi-disciplinary human resources of our university partners, we reduce our cost base and mitigate risk. After prototypes are proven within the lab and we develop a product roadmap and business plan, we form majority owned subsidiaries around the specific technology. We seek to return value to our shareholders through the sale or licensing of the technology, by securing additional financing for the subsidiary from the capital markets, or by successfully executing our business plan and consolidating income as majority shareholder.
Advance Nanotech is dedicated to the successful commercialization of disruptive nanotechnologies. Our goal is to rapidly build businesses that transform academic nanotechnology platforms into nano-enabled products. We provide financing and support services including commercialization guidance, project and infrastructure management, leadership assets and counsel on intellectual property, licensing and regulatory issues to ensure maximum market potential.
Our diversified portfolio of twenty-six nanotechnologies, in which we hold a majority position in over twenty, impact a range of applications, including, but not limited to, sensors, medical therapeutics and composites. We are forging our partnerships with leading manufacturers and universities in Europe, Asia and North America to transform innovative nanotechnology concepts into practical solutions.
Owlstone Nanotech, Inc. ... ( OWLN ) ....... http://www.owlstonenanotech.com
Owlstone Nanotech is the leading subsidiary within the Advance Nanotech Homeland Security Division. Following the announcement on August 14, 2006, Advance Nanotech's new Homeland Security Division includes thirteen related nanotechnologies providing solutions across two application areas: CBRNE Detection (Chemical, Biological, Radiation, Nuclear and Explosive), and Wireless Monitoring for cognitive awareness, triage and first response therapy. According to Fredonia, the market opportunity for chemical sensing in the United States alone is worth $5.4 billion. The division launched its first product earlier this year and has a customer base across the defense and industrial process control industries.
Owlstone Nanotech is a pioneer in the commercialization of nanotechnology-based chemical detection products. Its initial commercial product is a revolutionary microchip spectrometer that can be programmed to detect a wide range of chemical agents that may be present in extremely small quantities. There are numerous applications -- across industries from security and defense to automotive and healthcare -- that depend on the rapid, accurate detection and measurement of chemical compounds. Owlstone works with market leaders within these applications to integrate the detector into next generation chemical sensing products and solutions. Owlstone's technology offers a unique combination of benefits, including small size, low manufacturing costs, minimal power consumption, reduced false-positives, and a customizable platform.
Nanotechnology, like other branches of science, is mainly concerned with understanding nature and how it works. Nature has the ability to design energy efficient systems that are reliable and accurate without producing any waste. We are all still learning and by sharing and exchanging our knowledge and ideas we might be able to speed up this process.
It is with this goal in mind that Advance Nanotech has created Today in Nanotech, a forum where scientists, industrialists and entrepreneurs can come together and discuss current research projects, ideas and achievements in nanotechnology. Perhaps by working together we can further the development of nanotechnology so that one day we may replicate, at least part of, what nature accomplishes with such ease.
