strange. During all of this "handwriting on the wall" period there have been trades every day but about 5 since January. Will some people be surprised when they can't trade anymore? My only interest is it's a local company. Will have to wait and see what eventually goes into the old K-Mart building.

YTB EMERGES FROM BANKRUPTCY
Wood River, Illinois: YTB International, Inc., a travel services marketing company, announced today that it has completed a sale of all of its assets to a newly-formed company known as YTB Global Travel, Inc. YTB International and certain of its subsidiaries have been operating under Chapter 11 of the U.S. Bankruptcy Code since March 1, 2013. The bankruptcy case has been pending in the U.S. Bankruptcy Court for the Southern District of Illinois in East St. Louis.
“I am delighted by the completion of this transaction which enables the YTB business model to emerge from the bankruptcy case and to re-focus on its core travel services mission,” said Andy Cauthen. Cauthen has been President and CEO of YTB International since May 2012 and will continue to have a leadership position with YTB Global Travel. YTB Global Travel is owned by Sam Hathi
“We believe the YTB franchise can be turned around and that it can regain the leadership position that it once held in the travel services industry,” Hathi said. “There are a number of improvement initiatives that we intend to pursue immediately and we are committing our resources and full energy to those initiatives in order to drive growth and opportunities for our employees and independent marketing agents,” added Hathi, who will personally oversee the daily operations on behalf of YTB Global Travel.
The sale was completed pursuant to Section 363 of the U.S. Bankruptcy Code and approved by U.S. Bankruptcy Judge Laura Grandy and the Official Committee of Unsecured Creditors appointed within the case.
YTB International and its subsidiaries anticipate that a liquidating trust, overseen by a court-appointed trustee, will be created pursuant to a reorganization plan that will be filed in the near future. The trust will wind up the affairs of YTB International and its subsidiaries and it will manage the claims of YTB’s creditors.

YTB head quits, one-third of staff is cut

WOOD RIVER - The head of YTB International has resigned, the company is cutting one-third of its work force and is now re-evaluating its plans to merge with a Florida firm, the business said in federal filings this week.
YTB International Inc. said the "important restructuring program (is) aimed at restoring the company's profitability and focusing its strategy on its core business of web-based travel-related services."
"The company needs to refocus on organizational improvement and operational execution," Fred Lutzeier, a member of the board of directors, said in a statement. "We believe there are a number of steps that can be taken during the next few months that will improve the operating results of the business."
In connection with the restructuring, Robert M. Van Patten on April 26 submitted his resignation as president, CEO, interim CFO, and as a member of the board, effective immediately.
The company says the restructuring is to unfold over the next 12 months.
"The company would like to thank Bob for his efforts since being appointed CEO in 2009," Lutzeier said.
The board has begun a search for a new president, CEO and CFO. In the interim, the independent directors, led by Lutzeier and Patricia S. Williams, are overseeing a management committee of staff and operating executives that is guiding the daily affairs of the company, he said.
J. Scott Tomer will continue in his roles as chief executive officer of YTB Travel Network Inc. and board chairman.
The company has taken the first step in its reorganization program by implementing a reduction in force. In its Tuesday filing with the Securities and Exchange Commission, YTB said that approximately one-third of the total full-time employees at the company's headquarters have been eliminated, effective immediately. The exact number was not given. The business is based at 1901 East Edwardsville Road in Wood River.
Salaries for certain ongoing positions also are being reduced.
"Like so many other companies that have had to make difficult and painful decisions in this highly uncertain economic environment, the board regrets the loss of these jobs," Williams said in a statement with the filing. "YTB has some wonderful employees, and these types of decisions are not taken lightly, nor are they taken without consideration of the impact on the lives and families of the employees whose positions have been eliminated. ... Unfortunately, the company needs to adjust its cost structure in keeping with ongoing weakness in its top line results."
The company estimates that the reduction in force and salaries will save approximately $2.4 million in operating costs.
Regarding the company's announcement in March of a potential merger with LTS Neutraceuticals, Inc., Lutzeier said: "The development of the company's restructuring program has consumed significant attention of the board and management in recent weeks. We felt it important to get our own house in better order first. We will be returning to our due diligence efforts and to an evaluation of the proposed transaction to determine whether it remains in the best interest of YTB's stockholders."
The company said it also expects to realize "other important efficiencies and cost reduction" through a review of non-personnel-related costs.
The company also will begin taking a more strategic approach to its business model, it said, by eliminating non-core products and services that are not producing a satisfactory return and exploring "new growth opportunities for leveraging its competitive advantages and large sales organization.
"By focusing simultaneously on cost-savings and growth opportunities, the board believes the company can be restructured, return to profitability in the future, and remain a viable force in the marketplace."
YTB also announced that the required audit of its full-year results for 2011 and the filing of its annual report for 2011 will not be done within the timeframes indicated by the company on April 16, nor will it be able to file its quarterly report for the first fiscal quarter of 2012 in a timely manner.
"As chair of the Audit Committee, I am keenly aware of the implications of the company's disclosure and reporting obligations," Lutzeier said. "The costs and burdens of being a public company are very significant for an organization such as YTB.
"As part of our restructuring program, we are studying alternatives that may lessen those costs and burdens," he said. "It is the goal of the board and the management team at YTB to serve the best long-term interests of the stockholders."
He said officials are striving to bring the company back into compliance with all reporting and disclosure requirements as soon as it is feasible.
In another management move, the company announced that Steven Boyd, 59, has been appointed as the company's principal financial and accounting officer. Boyd previously served as senior manager of finance and compensation for MEMC Electronic Materials Inc. from 2008 through earlier this year in 2012. Prior to that, Boyd was controller for YTB from 2006 through 2008.

WOOD RIVER - Locally based YTB International Inc., a company that ran afoul of authorities in two states, has agreed in principle to merge with a Florida-based company.
Fort Lauderdale-based LTS Nutraceuticals will rename itself LTS International. The companies said the intent is for YTB to remain the surviving company and continue to sell travel packages.
"We are very excited about the new global capacity that this potential merger agreement could bring our business," YTB Board Chairman J. Scott Tomer said in a statement. "Two companies working together to individually strengthen their own products and services is a first for our industry."
The company did not release any information about the impact of the sale on its Wood River headquarters. The Wood River facility was sold last year, and YTB currently is leasing space from the company that bought the property.
The company also sold off an office in Edwardsville and other assets.
Tomer and other members of his family and associates originally are from The Telegraph area and started the business to allow individuals to market travel deals to consumers. The agents paid money to the company for certain services and earned money for selling travel packages over the Internet.
However, they also earned money by signing up others to do the same thing, and there was more money coming in from signing up others than by selling actual travel packages.
Both California and Illinois sued the company, calling it a "pyramid scheme." Lawyers also filed class action lawsuits.
The company settled the state suits but agreed to change its so-called "pyramid scheme" tactics. Most of the original founders have left the company.
In 2008, YTB took in $162 million. In the first nine months of 2011, revenue was $21.1 million. The company lost $3.3 million in that period and had $189,000 cash on hand.
LTS sells vitamins, supplements and nutraceuticals over the Internet and through other channels.
According to the YTB website, LTS focuses on "people helping people" by developing breakthrough nutritional products that promote positive change and lifelong transformation.
LTS markets its products through multiple channels, including retail, direct sales (direct to consumer via TV, radio, Web and mail), and a new and improved form of person-to-person selling, commonly known as network or multi-level marketing.
The proposed merger would result in substantial cost savings and efficiencies, allowing the LTS company to continue its plan for growth and global expansion. LTS has been approved to operate in Hong Kong, Singapore and Taiwan, and company officials said it will be a great resource as YTB seeks to expand its business into Asia.

WOOD RIVER - The Illinois Attorney General's Office has settled a case with controversial travel company YTB and affiliates for $153,000, but the firm will have to stick to strict guidelines on how it does business.
The attorney general's office agrees that the company has already changed its style, but the order approving the settlement states that the company is not off the hook for any claims that may arise since the suit was filed May 14, 2009.
The company no longer sells websites. It once sold websites for people who wanted to retail travel deals to consumers and also awarded bonuses for each additional people the owner persuaded to buy an additional website.
Authorities alleged more revenue was earned by bringing others into such deals than was earned by actual sales of travel.
Most of the top officials of the company have left. It has sold its former headquarters building in Edwardsville and its building in Wood River. The company now leases a small space in its former sprawling location in Wood River.
YTB is now in the business of selling items at retail via the Internet. It once operated a nationwide travel sales company, which critics called "a giant pyramid scheme."
In the settlement, YTB did not admit or deny guilt in the settlement, which stems from fraud charges filed in 2009 by Illinois Attorney General Lisa Madigan.
Madigan sued shortly after California filed its suit. California eventually settled for $1 million.
The firm was also the target of several complaints to the Better Business Bureau. It was named in two class action suits that were consolidated into one on the federal level.
The company once had more than 130,000 online travel agents and $162 million in revenue in 2008, In 2010, revenue was $36.3 million.
"Reaching a settlement that obtains thousands of dollars in restitution for consumers was in the best interest of those affected by YTB's practices and a primary goal in filing this action. The Attorney General's Office will now be working to distribute refunds to consumers who filed complaints against YTB with our office," a spokeswoman for Madigan said.
Including in the settlement order is an agreement by YTB to refrain from doing many of the things that led to its legal troubles.
Its advertising practices will be restricted.
"Defendants shall not make any representations regarding the website owner income, compensation or lifestyle, including but not limited to potential income, potential compensation, potential lifestyle and pictures or representations of home, vehicles, or leisure activities explicitly or implicitly enjoyed by a website owner," one paragraph of the order states.
Sources of income must also be reported, along with the average amount of money the website owner earns.
The advertising must including disclaimers, such as "No one can guarantee your success as a website distributor."
The case was decided in Champaign County. The court retains jurisdiction for the purpose of ensuring compliance.

This is pointless. I KNOW THE COMPANY EXISTS, know individuals who work there booking orders taken by travel agencies and home based associates. I also know I expressed to my chiropractor when he lost two of his office assistants who left to work there that I thought it sounded like a pyramid scheme. Months later Calif. took them to court.

This was from a quarterly back in 2008 and reflects the growth they were showing. Had companies, sports teams, Churches, almost any membership body starting up travel clubs for their employees, fans, members, etc...

Multiply the growth by $450-$500 initial and, I believe, $50 a year from all and a cut of sales, and they advertised themselves to be among the 25 top travel agencies in the country.
They've changed the business model to more of a franchise type operation where they call their affiliates "Travel Store Owner"
Well I would have to disagree that just because they have a nice HQ, does not make them legit. I'm not sure if they intended from the start to be legit or not, but I had looked into the company long ago when some people were trying to recruit me to it, and what I found and who I found connected, I didn't like.
FWIW, I think I made a small profit on this stock, but only because it had a huge leap in price back in April of '08 that gave me the chance to thankfully jump out.
I do personally know people who booked through a "club" at Church. The "club"/Church made a commission. They do exist. YTB Have laid off some employees. AND I wouldn't buy shares with your money. BUT it wasn't a scam from the beginning. It grew as the agents were signed. In-house administrative hires grew into the hundreds and they outgrew their offices in Edwardsville,IL. They bought a vacant former K-Mart in Wood River, IL and have spent hundreds of thousands renovating it. So, imo, it doesn't measure up to a scam. The business plan was geared to them and a few "up the ladder leaders" making money from the fees paid by thousands of associates, not from the travel industry. Not much different than some other direct marketing companies. One of my Son's got caught up in the "get rich" ploys touted by AMWAY. They're still in business.

Everyone I knew who was involved with it, claimed it was a scam. I don't know anyone who books through it anymore.
No endorsement of YTB but IT DOES EXIST. I live near it's "campus", know employees who work there, know private and not for profit groups who book through them.
That said, imo it's a pyramid scheme, as a percentage of the whole few reps make reasonable, life supporting, income.
Disclosure, I have owned shares but sold long ago when California filed charges. It was thriving somewhat as they were banking sign up and and monthly fees from new recruits by the thousands.
So, you're another one of those guys who doesn't care that it's just one poster getting screwed while another makes money on a company that is virtually non existent?
