Here's the THIRD AMENDED 2012 10-K filed on 12-30-2013... "to correct inaccuracies in our consolidated financial statements caused by management incorrectly applying a 16.667% limitation to the conversion terms of our Series A Convertible Preferred Stock, which caused us to understate the derivative liability and other income/expense – change in value in derivative liability..."

Just Another Sign of Uplisting

The multiple amendments are the new management's attempt to correct previous filings in order to maintain compliance and as part of the Global Business Plan and eventual uplist to NYSE Mkt (AMEX). Clearly, the previous management did a haphazard (halph ahssed) job at filing things.

Most people still know AMEX by it's old name, so I always have to note it as such in parenthesis.
