The lates Quarterly Report doesn't mention "No Dilution"
instead it clearly states:

Management also believes the Company needs to raise additional capital for working capital purposes.

His 100M shares are actually restricted as outlined as well in the Quarterly.


A. Common shares
B. Charles Nienstedt – July 1st, 2013
C. 100,000,000 Shares
D.Issuance was done at price of Par value ($0.001)
E. Shares are restricted.
F. Shares DO contain a legend stating that they have not been registered under the Securities Act and outlining the restrictions from sale under Issuance History



Per Rule 144:

If the company that issued the securities is a “reporting company” in that it is subject to the reporting requirements of the Securities Exchange Act of 1934, then you must hold the securities for at least six months. If the issuer of the securities is not subject to the reporting requirements, then you must hold the securities for at least one year. The relevant holding period begins when the securities were bought and fully paid for. The holding period only applies to restricted securities.

Shares are coming from somewhere. There is no possible way the entire float has changed hands 4 plus times this month with the share price going nowhere and continuing downward recently.

Absolutely ridiculous to even try making others think that. This is clearly shares being dumped either out of the CEO's personal stash or from the company itself imho. Just look at the volume since the January 28 PR compared to the last 52 or 104 weeks.

He did say something like dilution would be possible for growing the business or something like that. There is no way the entire float, of what is supposedly only around 4 million according to the cheering squad, has changed hands four or five times in the last two weeks with that share price action. I repeat.

GLTA. I hope this T/A doesn't make a mistake with the SS numbers as well.
