Thanks Penguin great DD! I l know it's only your interpretation but I was actually thinking about this the other day. I know people will say we are stretching the rules but I believe you hit the nail on the head. It would make sense the date of closing the transaction would have to be a official signed document and not a PR. Great work and I think everything will come together...GLER LONG

The flaw in your thesis is that GLER, technically, is not a shell company and a Super 8K is with respect to shell companies. None of teh GLER filings have checked teh box identifying them as a shell company, as MANY here have pointed out in the past, and thus the super 8-K does not apply.

Even with that understanding, a Super 8K has the same timing requirements as teh standard 8K (4 days). They are not additive. Th esuper 8K clearly states that the filing must come within 4-days of the closure of the RM transaction.

Instead of meeting the timing requirements of the standard 8K or the Super 8K GLER/HAWK violated securities laws.

My estimate is 4 days...my conversations suggest that auditors are done or nearly done by now

if anyone really needs to know about what the rules are, wouldn't IR know?

8k filed feb. 12th, plus 4 business days monday holiday, feb 19th latest meaty 8k due.

so if they keep dropping this it could be real good to add right now,lotsa people missed the ride yesterday with eco$ a good 8k, up over 330% in 1 day with more to come today, with there 8k, people lookin .10 and when you read it you can see it happening.

talk around this board is .05 - .15 and above with this merger, fingers crossed here. gonna add more here.

PENGUIN'S CONCLUSION (NOT SEC'S):
"generally requires a company to provide information following a transaction that is outside the ordinary course of business. The SEC reminds companies that an asset acquisition can result in a company no longer being a shell company in the same way that a business acquisition can. In the event that the asset acquisition results in the Company no longer being a shell company, all information required in a Form 10 Registration Statement, must be filed in a Super 8-K within four (4) days of the closing of the transaction"

I'm all for DD, but making up things is wrong.

GLER released the 8-K, 4 days after the PRESS RELEASE.
There is still no 8-K about NQM which is already past due.

In no way did the link you provide have anything to do with a SUPER 8-K.

I'm working hard to prove GLER is not a SCAM.
But as of right now there is nothing to go off of to prove they are not.

I want to POST ALL MY FINDINGS. But TRUST it will completely change everyone's MIND SET about GLER.
