No CEO is that stupid, why not just raise the AS to 2B and sell shares into the market at MUCH higher prices.

For one thing, companies cannot just "sell shares into the market". They must either file a registration statement, or make use of an exemption from registration. They chose Reg A. God knows why.

Did I say it made sense? It makes no sense at all. But it IS what they want to do.
