I am not really sure how to take this... if someone understands it better can you please explain? It sounds to me that WLAN will absorb 10% of outstanding shares? Which would be a really good thing but I am not sure if this is right?

i don't think it reduces the amount of WLAN shares; a spin-off should be a new entity with it's own charter and share structure. i think it's just saying that 10% of ACYD will be held by WLAN who represents the post-merger entity. The rest goes to shareholders.

Which is a little strange, you would think ACYD would want a majority hold.
