Yes, that's true, however the previous A/S was 500 million before it was recently raised to 2.5 billion. I'm assuming that they never maxed out at 500 million O/S and that divided by 300 would leave the spinoff with less than 2 million for current shareholders.

There is no disclosed OS of GEAR and there will be none until ipo pricing, so you can't judge on ownership structure at this time.

Note also that GEAR is NOT an IPO. It is a spinoff of a subsidiary.
