Nice strawman argument. We're not talking about other companies, we're talking about a specific company with a history of insane dilution. This isn't the first time they've set it to unlimited either. Oh, and for the record MOST companies require a shareholder vote in order to change the share structure, or at a minimum a majority vote by a board of directors that includes outside directors. Legitimate ones at least.

99% of the time, the BOD can authorize an increase in share structure without any shareholder vote. Thus AS, as you've alluded is really unimportant. OS is the only really important number. But in the defense of those stuck on AS, when a TA is gagged...it's the only number you got.

Notifying shareholders prior to increasing the AS would be the responsible and transparent thing to do.

Agree 100% and this is quite often done at levels higher than Pinks as those fully reporting to the SEC, must report all material events. But as I've said many times before, this is a Pink and as long as it is such, there is no expectation of reporting aside from that required by Pinks and that in a potential investor's mind. The solution is simple, don't invest in Pinks if it is not your cup of tea. If Pinks are OK, but dilution rate is higher than you like in a given Pink stock, look for another Pink stock. It's really not complicated.

I've always stated that the number listed as the AS is irrelevant. Hopefully others are now aware of that fact as well.



The OS is more important.
