The First question..is why did they agree on the below..

(i) the quotient obtained by dividing (A) $706,765.38 by (B) 55% of the average of the lowest 10 VWAPs of the Common Stock over the 80-consecutive trading day period immediately following the date of issuance of the Initial Settlement Shares

..Why they took the lowest of the 10 VWAPS is to ensure that Hanover will get their dues back as fast as possible keeping in mind the price fluctuations..and Hanover had been selling right from day one of their getting their shares..
