Thank you for your response. If you would confirm: The 0.016 VWAP number must be multiplied by 0.55 (equaling 0.0088) and this is divided into the $706,765.38 resulting in 80,314,248 shares. The sum of $52,500 and $35,338.27 = $87,838.27 is then divided by the full 0.016 VWAP, resulting in 5,489,891.90 shares. These two results are the added together, for a total of 85,804,140 shares. Of these 85,804,140 shares there have been 31,600,000 disbursed to Hanover to date, leaving a total of 54,204,140 yet to be delivered, assuming that the VWAP does not decrease.



Can you also confirm that the VWAP may decrease before the end of the 80 day calculation period but that it is mathematically impossible for the VWAP to increase going forward?
