It is very clear to everyone that All the BS that the Company was selling shares and or Ken was selling shares is all FALSE.

341M Shares issued and outstanding is very low.

Well, I can see
that the difference is:

Brookes/Sullivan shares that were put in Escrow Agreement Account.

118,263,158 shares

and Ken's Employee Agreement Sign On Bonus from 2012 Q1 filing page 10.

4,500,000 shares

118,263,158 + 4,500,000 = 122,763,158

Because the 10 K was filed in June, they gave the current O/S also...looks like.
