Diluting to prevent a hostile takeover would benefit the CEO, not the shareholders. It's a terrible idea and hopefully that is not the reason for increasing the AS count. You are right though in statiing that it is the OS that is important. If someone were interested in taking over this company (and that may very well be a good thing given the current leadership), they could do so before MS has a chance to further dilute beyond 1 billion. Hopefully these issues get addressed next Wednesday, although it would require a strong shareholder present at the meeting to get the air time.
