Yes, you are right! The merger is a done deal now!


The issuance of BioSante shares in connection with the merger will require the affirmative vote of a majority of the BioSante shares present and entitled to vote at the BioSante stockholders meeting called to consider such issuance (assuming a quorum is present), which means that unvoted shares will not prevent the merger from being approved. The merger, like the prior merger proposal, also must be approved by the ANI stockholders.



Only law suit can prevent the merger. Or the rest of unvoted shs come out to vote NO.

QyQ, nothing from FBI. What everyone must also realize is that whether it is the SEC, FBI or IRS if this Biosante deal falls into a much larger investigation, we may not hear for a while until the investigation is complete.

Generally you trade up to get a bigger fish. So if there is fraud here and it leads to a larger fraud the investigation will continue on the larger fraud and everything will only come out at the end of the investigation.

As for lawsuits, it is apparent they are not in control, I wonder if we would be better served by seeing where their plan takes us. Some are assuming they are all crooks, but really what we have is that they have been withholding information and may be bound by certain agreements. Which has distorted the valuations. Seeing who is really in control is also very important and can lead to motive.

Finding out the motive for their actions is very important and right now it all being based on assumptions. It is only by letting this play out will the motives be confirmed. If we get screwed in the end, then the motive was most likely personal gain and a good forensic audit should be able to prove this. Which can support a larger lawsuit. It will also be easier to establish a proper valuation retroactively as we will be dealing with concrete sales vs speculative valuations (i.e Bio-t-gel, Libigel etc...). It will show how ridiculous the valuations were.

On the other hand their motives may be genuine and it is their methods that are questionable.
