Ask an SEC attorney that understands Rule 144, instead of avoiding its mention or reference in any manner whatsoever.

The Wallaces did ask an SEC attorney--not only an SEC attorney, but a former division chief at the SEC. He said marty's shares could be sold. Rule 144 did not prevent the DE law from being enforced. His letter specifically referred to Rule 144. The brief submitted by the Wallaces' lawyer specifically refers to Rule 144 and explains why it doesn't affect the DE law. The only one who doesn't mention the relevant law is Gouge. He wants the court to invalidate the DE law, yet NEVER mentions this law. NEVER.

You suggest I ask an SEC attorney "who understands Rule 144."--I believe the expert for the Wallaces does. Two questions:

1. Why wasn't Gouge able to find one SEC attorney in the entire country to support marty's position?

2. Why wasn't Gouge able to cite one case or one SEC adminisrative ruling which determined that Rule 144 nullified the DE law?

If you're right, wouldn't both questions have been easily answered by Gouge? Either Gouge is incompetent or marty is wrong. One or the other must be true.
