SNDY and the other companies involved were entirely complicit. They had to agree to have the restrictive legends removed from the stock before BAC could sell it. Guy Jean-Pierre wrote the bogus opinion letters on behalf of SNDY and the other companies.

BAC's reputation for toxic dilution was already well-known by this time so the companies knew full well what was going to occur. Read the actual FINRA action for details:

SNDY uses Boost Marketing, a new iteration of Big Apple Consulting for IR and financing, so they are still connected with these shysters.
