This is the exemption that Fairhills Capital and the companies that issued stock to them improperly attempted to use. It is the same exemption that Big Apple Consulting and related entities used in its 504 purchases and sales with its clients.
I have seen it improperly over a dozen times and never once seen it properly used. I'm glad the SEC is finally taking action. It will be interesting to see the consequences for the client companies, attornies who wrote bogus opinion letters, TAs, etc.
