Olddog, did you include dividends on the shares that management and directors own? Even if you did not include the dividends, your point is still valid as the dividends they received would probably not raise their compensation enough to make it comparable to dividends paid out. But the dividends paid to management/directors should probably be subtracted from total shareholder dividends paid out and added to management/directors compensation.
