Actually, it was created because Ed didn't have 51% voting control this entire time. Its very typical of most OTC stocks for the management to make sure they have control over the company so take overs cant happen. This entire time Ed has been subject to shareholders taking over the company. Infact its common on alot of big board stocks as well. Even the past few weeks Facebook changed their bylaws and share structure so that Mark could retain voting control over the company. Google is the same way. Just FYI!!!
