Welcome to the LQMT board. Please, when coming on to a board new, at least read the sticky notes at the beginning of the post list. You will find some basic and invaluable information there about the company that you are interested in learning about. It is also a good idea to read back through the past posts.

The question you are asking has been answered numerous times ... and is even answered in one of the sticky notes if you aren't really interested in learning a lot by reading back through the message log.

On August 5, 2010, we entered into a license transaction with Apple Inc. (“Apple”) pursuant to which (i) we contributed substantially all of our intellectual property assets to a newly organized special-purpose, wholly-owned subsidiary, called Crucible Intellectual Property, LLC (“CIP”), (ii) CIP granted to Apple a perpetual, worldwide, fully-paid, exclusive license to commercialize such intellectual property in the field of consumer electronic products, as defined in the license agreement, in exchange for a license fee, and (iii) CIP granted back to us a perpetual, worldwide, fully-paid, exclusive license to commercialize such intellectual property in all other fields of use. Additionally, in connection with the license transaction, Apple required us to complete a statement of work related to the exchange of Liquidmetal intellectual property information. The Company recognized a portion of the one-time license fee upon receipt of the initial payment and completion of the foregoing requirements under the license transaction. The remaining portion of the one-time license fee was recognized at the completion of the required statement of work.


Under the agreements relating to the license transaction, we are obligated to contribute all intellectual property that we develop through February 2012 to CIP. In addition, we are obligated to refrain from encumbering any assets subject to the Apple security interest through August 2012 and are obligated to refrain from granting any security in our interest in CIP at any time. We are also obligated to maintain certain limited liability company formalities with respect to CIP at all times after the closing of the license transaction. If we are unable to comply with these obligations, Apple may be entitled to foreclose on our assets.

HAVE YOU EVER HEARD of TRICKLE DOWN ECONOMICS? Check out how the MONEY flows below:

1- APPLE is DEEP POCKETS NUMBER ONE. Apple pays MONEY to and INJECTION MOLDER which made the value added part from an ingot of Liquidmetal.
(This is the same as a day trader paying money to a broker for all of his value added day trades)

2- IM MOLDER is DEEP POCKETS NUMBER 2. They pay the MONEY they got from Apple to a Joint Venture Partnership called MATERION-LIQUIDMETAL to purchase the Liquidmetal Ingots. Materion refines and combines 4 or 5 elements into a homogenous molten mass called a bulk metallic glass BMG and pours it into a mold making an ingot.

3- MATERION-LIQUIDMETAL is DEEP POCKETS NUMBER 3. They pay the money they got from the IM MOLDER who got the MONEY from APPLE to Materion for the processing of INGOTS and pay MONEY to Liquidmetal for the rights to use the Liquidmetal technology to make the INGOTS.

All Liquidmetal has to do is to HOLD OUT THERE CUP to CATCH the MONEY which flows from APPLE to the Parts Manufacturer to the INGOT Maker. (This is quite similar to the MM/Broker who holds out his cup to catch all the MONEY a day trader pays in COMMISSIONS for giving a day trader the right to trade)

In case you haven't noticed, this is how the REAL WORLD WORKS.

Bottom line: If Apple wants to use liquidmetal in their products, Liquidmetal Technologies is getting paid by Apple.
whether it is payment directly or indirectly really does not matter.

When your boss gives you a paycheck, you probably think you are being paid directly. right?

But actually, your boss is paying the bank, and the bank is paying you. Do you really care if your boss put the cash into your hands or the bank puts the cash into your hands.
