Section 12(g) of the Securities Exchange Act concerns exceptions to the normal filing requirements for registering a security with the SEC. The data provided to the SEC would be regarding why the security would be exempt from the 1934 act. Some examples would be mutual funds, some insurance company products, co-ops, etc.

Yes it means they will no longer make any filings to the SEC basically.
a 15-12g is filed for companies that have less than 500 shareholders and relieves them of SEC filing requirements without recieving penalties

Thanks man. I appreciate your help. Im holding HWIC and saw that filing and freaked. Almost sold but its not a death knell so Ill keep holding.
