Technically your plan is reasonable and feasible. However! The biggies prefer buyouts not J Vs. You are correct that the existing shareholders are out of it but with no down the road risk. Sometimes there is a kicker where a new operating company is formed and the shareholders stay in for some long term profits after a cash buyout. FRG was sold this way.
