During the draw period, they can put shares to the lender at various times. And w/ the S-1 in place, Fairhills can liquidate these shares into the market. Which then opens capacity for Fairhills to have additional shares put to them.
They just can't have more than 5% OF THE O/S AT ONE TIME. But they are free to sell shares and continue financing.
