The only person with a judgment against him is Spencer. Wallace doesn't have to prove anything as there is no evidence he has done anything wrong. Spencer is the CEO and has a fiduciary responsibilty to the SHs, not Wallace. But I agree 100%. making money is Spencer's primary obligation. Fighting a lawyer in court is at best a distraction and at worst a time and capital-draining venture.
