"On May 23, 2013, Mr. Butler sold to Jia Hang 146,265,531 shares of common stock and 5,000,000 shares of series A convertible preferred stock for a total consideration of $300. The preferred stock becomes convertible upon an amendment to our articles of incorporation which increased our authorized common stock from 225,000,000 to 400,000,000. Following the amendment to our articles of incorporation, Mr. Hang converted his series A convertible preferred stock into 100,000,000 shares of common stock."
