Mr. Campagna's compensation for 2004 services as CoB as follows from yesterday's proxy as follows:

...."in his capacity as Chairman of the Board during 2004 and into 2005, Mr. Campagna was awarded 10,000 RSUs in 2005. With notice to the full board, such award was approved by the Compensation Commitee with Mr. Campagna recusing himself."

This is the very first year where I have seen language in the proxy, whereby Mr. Campagna recused himself from determining his own compensation. I assume that in all the previous years he did not recuse himself and determined, or had a hand in determining, his own compensation.

BTW this year is Mr. Campagna's least amount of compensation for services as board chairman since becoming CoB in 1997. I thought initially he may have toned down his own compensation this year because he would be facing reelection. However it may have been toned down because he recused himself from determining his own compensation this year, and had it determined by others.

rmarchma: Fully agree that--- "Neither Mr. Campagna nor Mr. Roath have wireless industry experience. Both individuals are supposedly performing services that are part-time in nature rather than full-time. Why are two independent outside directors among the most highly compensated individuals at IDCC? This compensation is very unusual, and needs to be fully explained and justified to the outside shareholders."

"Maybe" there will be an explanation made at the ASM.
