This was one specifically that I am referencing as a reason for RS.

I don't understand why a chill makes it a reason for a RS. He didn't really explain that, did he?

From a simple viewpoint, it looks like he needs the RS to bring the share structure into a more respectable range for Institutional Investors (you gotta admit, as many shares as there are McDonalds hamburgers is extreme). The RS is understandable.

Now - the AS - he needs more shares because he is running out. I think this might be the reason for the "chill" - because the DTC does not want to risk a "Failure to Deliver" condition. Very easily done electronically, and there is more control of share count when performed manually via physical action.

A big Catch 22, IMO.

I hope he has some Institutional Investors lined up, because it don't look good from here.
