I think you hit the nail on the head when you stated "Dean owes him money...." I strongly suspect that Dean's practice of obtaining money, depositing it in his own account and then to QASP was his standard modus operandi. Joe should be going after Dean not QASP.
I disagree with you stock (but of course agree 100% with the ladies...). If Joe cut a check to Dean (maybe he was buying preferreds from Dean?) instead of QASP then Dean owes Joe. Qasp then owes Dean which is a hell of alot better than QASP owing Joe imo. Dean would have to give an accounting of how the funds were used in order to collect them imo unless Dean put the money into QASP (if Dean kept the money himself in a reimbursements of expenses incurred or to be incurred scenario). Either way it isn't clean cut imo. A scenario I'd like is Joe admitting he created a debt swap (illegal) in order to get the $169k back. If I were the judge I'd fine hime $300k & sentence him to shorting QASP for the next 3 years....
