Not sure where you found that he sold "unregistered shares at a deep discount". Thats not what happened at all. The shares that were sold were sold by other companies and sold before they were allowed to sell....

That's how it works in the pennies man. They sell big blocks of shares at a discounted price to fund operations but the shares are frequently restricted for a period of time. Selling at a discount just ensures that they make some money whereas in the open market it's not a given.
