Appraisals are notorious for not being accurate.
The fishy thing about the discrepancy is that because the payment is so risky (shares of a pinksheet company) there should be a premium being paid to value. Not a discount.
So, no, there will not be an immediate equity value established upon the sale closing.
Of course, I don't believe this will close either, so......
