One may consider that a new major material definitive agreement was entered into a year ago with big auto that warranted reporting, and that said agreement was approaching its anniversary and was amended thus constituting amendment of a major material agreement, which again required reporting.

If this explanation is too simple, then perhaps SKS and Feeney are conspiring with big auto to dupe MMs and shorts and blind-side them with a big new deal in Jan.

The obvious reason is Wave Mgmt thought it was "material" and therefore they were required by Reg FD to disclose it.
