Par for the course.

Anyone except the most gulible would see this coming based upon the track record of Fisher. Simply trying to run out the clock until he and/or his wife can liquidate in seven figures.

He pumped BEHL for all it is worth now it is time for a fire sale and then move on to the next shell.

Tell the truth: two separate companies but if you insist this is a
reverse merger then show both sides of the picture.

...they acquire BEHL and all of its assets leaving a shell that will be sold off later on. Or they reverse merger and in the process wipe out all in investors with what is an RS.

This is debatable. The PRs say >

Sep 15 PR > The Companies [b]both agree for BEHL to maintain its position as a public company.

Sep 17 PR > The Companies have a goal to complete this acquisition and Form S-1 Registration within 90 days.
Which will be by approx Dec 17, all going well.

BNPD will acquire all hard and soft assets of BEHL ......

Therefore, financial assets (aka financial instruments) include:

# Stocks: those securities are shares of ownership in a business that has the legal statute of a corporation. They make the company's own capital, also called "equity".

If we have to believe anything else we may as well believe nothing that the PRs are dictating to us.
If BEHL remains a comp of its own, we have to conclude that their shares of ownership constituting the legal statute of a corp remain and along with that all of the S/Hs.
It would make sense to me that all prefs and restric shares given to creditors, among others, are taken over by BNPD but the equity of ownership stays with BEHL which is why it can retain its public status and its S/Hs.
