No he needs not prove anything in a settlement everyone agrees to. Have you read the 650 objections? Boil it all down and there are fewer than 100 objections and at least 20 that Rosen is really stuck with that will require litigation. The biggest question is can he get it all to go away without the litigation.
Litigation as you know will require investigation, investigation is what they are desperately trying to avoid.
Yes he will need in the end to prove to the court that he common shares are out of the money.
Everyone agreeing is the tough part and most of the commons will not agree to 1 or 2 dollars, anything at all will cause a feeding frenzy.
