There isn't much due diligence for the seller to do. US dollars aren't worth a lot perhaps, but it is what we all accept! The buyer on the other hand, needs to know the company is in good standing, and know exactly what all the assets and liabilities are, and know exactly how many shares are outstanding, etc.
