i think Paul sold some shares in the market after the merger announcement and offered cash+shares to Sam to close the deal.

this doesn't rise to the level of the SEC , it is a business relationship temporally gone bad, no one lied, mislead or had any misconduct that would / could lead to civil sanctions.

Who it their right mind would issue a PR to intentionnally mislead ???? Would you commit an outright lie to paper ??
