That effectiveness order could be anything. Its just SEC red tape that companies have to file to make something effective. I was just curious to see if anybody knew why we werent trading.

They just wanted the SEC to know the new shares to be registered occured 1 day prior to the filing date.

It means the S/1 has been approved by the SEC and they can commence. Does anyone know who is acquiring the shares? I noticed that it is not for a capital injection and there will be no proceeds. Is it managment organizing a share buyback in the form of an offering?
