I believe the the SEC filing is required when an investor buys or sells enough shares to control 5% or more of the outstanding stock. In this case see below:
"Item 5. Ownership of 5 Percent or Less of a Class.
If this statement is being filed to report the fact that as of the date hereof the reporting person has ceased to be the beneficial owner of more than 5 percent of the class of securities, check the following: [X ]"
It appears that Tosca has reduced its holdings below the threshhold of 5%. Of course that does not necessarily mean the investor has completely liquidated its holdings -- only that it has sold enough to fall below the 5% threshhold.
