This would be reported in the company's initial articles of incorporation or a subsequent amendment submitted to the Nevada Secretary of State. The company did have preferred stock. One of the old SEC filings said it was cancelled. Not sure if they filed an amendment to their articles to cancel the class.

No, we wouldn't, though he's told shareholders more than once that there isn't any preferred, for whatever that's worth. I just think he wouldn't have had to dilute so very extravagantly had he realized what he could use preferred for.

If he did, would we necessarily know about it?

btw, USCA's Class A preferred split 3:1 along with the common.
