It called a FORM 14A filing with the SEC. You'll find the authorization request on page 7.
For the record dude, if your doing proper DD you would have know that. Not only has it been mentioned on all the MB's, but you kind get access to the forms from various sites.
EXAMPLE: www.pinksheets.com
Do a search for "XDSL"
Then click on "Filings" (check the most recent FORM 14A)
You'll find all the SEC filings that the company has done. It really gives you insight as to what they are up to.
