I think jonw has something to say, I agree there is a R/S in the future here. A/S and O/S are too high, and if this company merges with anyone or tries to uplist on it's own, there will be a R/S. It will have to be done for "Terry to have the company ready" unless you have another way to get this share structure tamed.
