I think you are confused. RH was able to go ahead and sell shares even though the company was unregistered because of his filings in 2007. However, now since the company is deregistered the proxy rules do not apply. Your contention that rules apply to exempt companies is not supported by the law you cited. Please present other law which does support your claim or I will conclude that you were confused and in error.
