#21263 RE: APRAD39 #21262

Just a few observations. Sorry I just had to intervene and make some sense of the nonsense that is being spewed out there....

Here we go!

1. Land has been bought!
2. They have some money to start the CTL plant/s
3. Some investor has faith in their plans and has put in his private money as a sign of confidence..
4. Do you guys really believe that is just a coincidence...and he is not smart enough to realize the potential benefits in the future.
5. Share holders have been diluted...yes ..but the full extent is still unclear...But if the equity exchanged in this process leads to a higher PPS for the shareholders..that is nothing new or unique...happens all the time in the business world.
6. Share holders will get a chance to decide whether they want further dilution or not.
7. Anyone with 300-400 million will want a big chunk of the project... any problems with that...I don't think so...do the share holders have that much money to put in...I think not...so why moan and groin...As they say SHOW ME THE MONEY!!!
8. Will the shareholders benefit from the CTL plant...ABSOLUTELY....The only way to get FFI shares is to BUY NSOL....I will repeat it again....NO one can get FFI shares unless they buy NSOL....or do a private placement like SCOTT did....so the market will soon realize that this PPS of NSOL at a mere 7 cents is a throw away price for FFI....
The valuation of FFI is in the fact that it will be debt free and its share value could be set according to the capital that is raised...hence if they are able to raise 300-400 million dollars...and either IPO or privately place shares...individual shares of FFI should be more that a few bucks each..esp if they want to be on a board like AMEX or NYSE.... has to be more than 5 dollars...most IPOs open at 10-15 dollars...

They could easily IPO 20 million shares of FFI at 10 dollars and raise 200 million dollars....so with Scott's 20 % share of FFI and another 10 % elsewhere...the current FFI value held by the shareholders is approx 70 percent.. Even if the share holders get 40 percent or less...a 3-1 or 4-1 spin off will give a value of say 100K shares of NSOL to 20 K-30 K shares of FFI...which if the price is more than 2-3 dollars is equal to or more than their asset price in NSOL...

Now the profit/value arises when you buy the shares of NSOL at their current price at 7-50 cents and not at 2 bucks like some of us have paid...for some of us..this is just break even..for others it will be a great boon...well folks ...world peace is very hard to achieve and we all want the best for everyone...but those who have not averaged down have the least to gain....

I have been yelling for everyone including the objectors to average down...but no one believes...

9. Things are happening on the ground that will have an impact on all of us...and if and when this CTL plant gets built (approx 3 years) the value of the shares will be priceless-compared to the current PPS....

10. Now some of us are worried that the plant is not going to get built..and this is all a way to transfer money to the insiders...let me be clear...the share holders will hold the company accountable to all SEC regulations and will make sure that the company fulfills its obligations...this is not a free pass to anyone and we all know that...the nay sayers have a valid point but their intent is less than kosher....

The FFI plan cannot be financially beneficial to Scott and Dave Maland and other management unless the CTL plant gets built...and to that extent, raising capital for the company and getting the KY government's approval is critical. As share holders we need to make sure that we are not left out of the deal and are able to get a fair share of the pie...
what that fair value is is beyond me since that is different for many of us...BUT there is no way that any financing of any kind can get done without increasing the shares or giving our share of the pie to someone who brings cash to the table....hopefully we are not left with bread crumbs...and that is the BIG question....The way I see it...only those smart enough to buy NSOL at this price are going to reap the BIG rewards...anyone else will just break it even at their cost price of 2-3 dollars...Is that unfair????
I don't know and I need your input regarding that!!

11. I feel that the KY government is very forward looking and it is ready to move forward with CTL technology in their state....a project like this will get good and positive input from the government....this comment should not be taken lightly...read the various PRs and government laws passed to help this nascent technology and industry...

12. A lot of very smart people are working on this everyday to make this a possibility...I cannot go into details since I do not have access to non-public data...but the fact that a deal has been made to purchase land is a clear and present indication that other, more positive developments are in the pipeline. I am sure that before the share holder meeting,we will see more transparency and more details on the various aspect of project development and project financing....It will also be interesting to see if the KY government will interject itself into the public arena about this cTL plant very soon. I think that affirmation from the KY government about their support will lead us to a higher PPS (for the share holders) and will give markets a sigh of relief that this is not some lame excuse to transfer wealth as has been accused!!

13. One advice/suggestion for the company that already knows this ...a new and revamped website with details about the CTL plant and land and other issues like the resumes of the board members and their financial goals and bench marks etc will be necessary and vital to attract new investors/shareholders and even the big money out there...

14. The current market has been hard on everyone...but kudos to the management for making A DEAL happen...It may seem like a steal to some of us...but this deal could have been had by any of us...all we had to do was put up the money...accordingly...we all have been quick to crucify our previous investor and perhaps will do the same with our new investor....but in their defence...NO one else put up the money...so either we put up the cash or keep our mouths shut since we are not financially helping make this plant a reality....

15. A Shareholder meeting will be a good place to decide our new management, our piece of the pie and our place in this CTL plant universe.

16. CTL plant will take financing and help from deeper pockets...when that happens ..our little company will grow also...but it has taken the right and correct initial steps to make any of that happen...to that extent I am very surprised that some of us are so impatient and want this plant ASAP....get a grip!!! things don't happen overnight!!

So in summary...this is good for us and gooder things are coming to a theater near us very soon...I just hope that they let us in with our VIP passes!!!

Perhaps we should thank our new investor for making this first steps happen..but then all of you will jump over me and say that I am being too nice and childish...and that he is stealing away our share...well our share of nothing is still nothing ...if this plant does not get built...so please pay attention...class is in order!!!
