55,643,654 shares of common stock as of 12/31/2003 ---10KSB filed on 4/19/2004

and then,

quote from the 10QSB filed on 5/21/2004 by UCAD:
As of May 18, 2004, [UCAD] had 7,770,745 shares of common stock issued and outstanding.

as of 1/16/04, when BFII went into hiding to become UCAD it was worth .011 at closing....several days later we got UCAD at the ridiculous price of 2.5. if you look at the volume with UCAD, it doesn't appear that anyone was willing to buy this stock at that price until we started mentioning their ticker in our PR's. i don't know what that's about. but it makes me think someone would purchase our shitty stock at that price as well.

long story short: if you go back and look at the 3,4 forms for UCAD you can get the total number of common and preferred shares that are in that hands of directors, officers, or 10% owners of UCAD. Those totals are necessarily static. They have to file another 3,4 form before they can do anything with their shares. I havent had time to do this yet, but i'll bet there's something confusing in the numbers. my bet is that adding up these totals would give you a confusing number to try to fit into this picture. by that i mean....who wanted millions of shares per day of a stock that was worth .021 only a few months ago? expensive mistake? doubt it.
