This is because they would be able to buy shares back quicker than they could now. If they try to solve that now it may take longer to buy back than it would getting these new properties producing and buy back then. This is IMO
No, if the wells from Ness are down due to mechanical problems, and Ness has filed for chapter 7 bankruptcy, it means they didn't have the money to fix the problems. These wells would be relatively cheap to bring production back on line as they are already drilled, just a matter of getting the equipment back up and functioning. This would quickly increase UVSE's production and revenues and would pay for itself in a very short time.
