Blue Sky - this S-8 is just an employee incentive plan- most all companies offer such a thing. It is employee carrot, better that then $$$ in cash given in raises, and the .075% the company would have to pay in SSI tax if the company gave them. This way it is a write off and not a cash drain. Same as a potential bonus when exercised and usually given selectively.
I think you may well be getting exciting over ZERO since most companies do the same thing and it is not many shares to start with.
