This is perhaps a very valuable primer for us share holders to review in more detail since this gives us some idea how and if NSOL will be able to do anything in the future....
Now from what I understand so far.......
NSOL (FFI) for simplification purposes please call them one entity... has publicly stated that they are a CTL company now and are going to go full force in that direction....and that direction is establishment of a CTL plant in Muhlenberg County in the near future....
In order to do so...they need to show approval of the KY government in the form of a letter or permission or other items that CQRTdoc mentions......I would like to see what those are and who the involved parties are....
For FFI spin off to work at all....they would have to have permissions from the State government for themselves and all the necessary paperwork to be completed that CQRTdoc mentions....without that any spin off is unreal and a complete scam.....
I will tell you all something that is pointing towards the company trying to get a spin off done ..in order to do so..they have to show that NSOL the parent company is viable as a single independent entity....and hence the three patent pending PR that we saw.......for nuclear detection stuff.....FOR which the PATENTS are still not HERE!!!! Perhaps they need to follow-up on that soon....
Also if you look at my previous posts..I mentioned that there may be something in the making for a business with GBRC for microwaving old tires at the NJ plant......but that also is a show and tell for the NSOL part of the business where they have to show that they have a real business....otherwise they have a serious legal problem..... something to do with the SEC laws.....so in the coming weeks to months...please expect some kind of contract/deal that will have a distant date in the second-third half of the year about this..just like the older PA and other NJ deals they have produced so far...very predictable.....
But all of this still leaves the question of what they are going to do with FFI and how.......???
Since FFI can only be spun off if they can show that it is viable......and operational to build CTL plants......if any....
The questions that all shareholders need to call the company up and ask are...
1. Do they have a permission letter from the KY state for the CTL plant.....that only includes them and no other party..... (since they obviously want to fly solo!)
2. How will they do the financing and infrastructure....on their own....Again without the help on any other player....
3. Now they keep talking about the need to have 5 million dollars so that the bank package can be ready.....Where is the homework for this bank package.?...and who is going to give them the money.?....I know they have begged people in NJ...and KY..but no one trusts them....since they have a habit of backing out of many things in the past.....and what equity will they trade for the 5 million dollars....ie...how much more are the current share holders going to get devalued......perhaps the company will issue another 10-25 million shares....which will again dilute us more...
I guess all these questions are being asked by CQRTdoc...and I am just understanding these on my own now...I wish we can all start understanding these and ask tough questions from the company....
Also one last thing....If the FFI spin off happens without the implicit and clear plan for CTL plant in terms of agreements and financing and other stuff that CQRTdoc mentions....we have a moral obligation to contact the KY government officials and blow the lid off this scam....
Perhaps the KY people are already looking and a few phone calls to concerned parties will stop them from welcoming NSOL and KFA into their public governmental offices.....and close this chapter for NSOL .....At 1 cent....I am willing to write this investment off.....and seek some retribution....
The question for the company is ....do you want all your hard work to go waste for some shareholder anguish....when you could have done the right thing and be team player...and reaped the benefits of perhaps building 6- 8 plants....
